1. Agreement

These Terms & Conditions ("Terms") govern your access to and use of the Intelibs GNSS software, mobile and desktop applications, web console, and related services (together, the "Service") provided by Intelibs ("Intelibs", "we", "us"). By creating an account, subscribing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

The Service provides monitoring, acceptance testing, recording, and historical logging of GNSS/RTK receiver data across mobile, desktop, and web. Features available to you depend on your subscription tier.

3. Accounts

• You must provide accurate account information and keep your credentials secure.
• You are responsible for all activity under your account.
• An account and its subscription are for your organization's use and may not be shared beyond the device allowance of your plan.

4. Subscriptions, billing & trials

• Subscriptions are billed per device, monthly, in advance, through our payment processor (Stripe). Prices are shown at checkout.
• Subscriptions renew automatically until cancelled. You may cancel at any time; access continues until the end of the current paid period.
• Free trials, where offered, convert to a paid subscription only if you choose to subscribe; an unpaid or cancelled subscription ends access to paid features (within the offline grace period below).
• Except where required by law, payments are non-refundable.

5. Licence to use the software

Subject to these Terms and an active subscription, Intelibs grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the applications on the number of devices permitted by your plan, solely for your internal business use. The Service may validate your subscription periodically and may operate offline for a limited grace period; access ends when the subscription is no longer valid.

6. Restrictions — no reverse engineering

You must not, and must not permit or assist any third party to:

• reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, protocols, or underlying structure of any part of the Service or applications;
• modify, adapt, translate, or create derivative works of the software;
• circumvent, disable, or tamper with any licensing, authentication, subscription, security, or access-control mechanism, or attempt to use the Service without a valid subscription;
• copy, distribute, sublicense, rent, lease, sell, resell, or otherwise commercially exploit the software or Service;
• extract, scrape, or republish the Service's software or data other than your own recorded data;
• remove or obscure any proprietary notices, or use the Service to build a competing product.

These restrictions apply to the fullest extent permitted by applicable law. Any attempt to do the above is a material breach and may result in immediate termination and legal action.

7. Intellectual property

The Service, applications, and all related software, designs, and content are owned by Intelibs and its licensors and are protected by intellectual-property laws. No rights are granted except the limited licence in Section 5. Data you record remains yours; you grant Intelibs the rights needed to host and provide the Service to you.

8. Acceptable use

You must use the Service lawfully and must not interfere with its operation, security, or other users.

9. Data & privacy

Your use of the Service is also governed by our Privacy Policy, which explains what we collect and how we use it.

10. Disclaimer

The Service is provided "as is" and "as available", without warranties of any kind, express or implied. GNSS accuracy depends on hardware, environment, and correction sources; the Service is a monitoring and record-keeping tool and must not be relied upon as the sole basis for safety-critical decisions. You are responsible for verifying results.

11. Limitation of liability

To the maximum extent permitted by law, Intelibs is not liable for indirect, incidental, special, or consequential damages, or loss of data, profits, or business. Our total liability for any claim relating to the Service is limited to the amounts you paid in the twelve months before the claim.

12. Termination

We may suspend or terminate your access for breach of these Terms, including any breach of Section 6. On termination, your licence ends and you must stop using the applications.

13. Changes

We may update these Terms; material changes will be posted here with an updated date. Continued use after changes take effect constitutes acceptance.

14. Governing law & contact

These Terms are governed by the laws applicable at Intelibs' principal place of business, without regard to conflict-of-law rules. Questions: legal@intelibs.com.
